Selling Commercial Property

What to expect when listing and selling commercial property in the Greater Toronto Area, from valuation and marketing through closing.

What to expect when you sell commercial property in the Greater Toronto Area

Selling a commercial property rewards preparation. Buyers and their lenders will test every number you give them, so the sellers who close well are the ones who price on the right basis, have their documents ready, and manage the process from listing to closing. This guide follows that order. It is general information, not legal, tax or financial advice: confirm the details of your sale with your lawyer and accountant.

1. Start with a valuation you can defend

  • Income-producing property is valued mainly on its net operating income and the market cap rate for that type of asset and location. A small change in either moves the price a lot.
  • Comparable sales (per square foot, per unit or per door, depending on the property type) show what buyers have actually paid nearby.
  • Owner-occupied, vacant and land properties lean more on comparables, replacement cost, and what the site can be used for.
  • Pricing. Overpricing is the costliest mistake: it lengthens time on market and weakens your position once buyers notice. We combine recent sales, income and cap-rate analysis, and current market conditions. Start with a free Property Evaluation.

2. Get your documents ready before you list

  • The rent roll, every lease and amendment, and tenant contact details.
  • Two to three years of operating statements: income, expenses, taxes, utilities and maintenance.
  • Property tax bills and the latest assessment.
  • Any environmental reports, building condition reports, surveys, title documents and permits you already hold.
  • A list of capital work done and work still needed.
  • For a business for sale: financial statements and tax filings, the lease and whether it can be assigned, franchise agreements, inventory and equipment lists.

A complete file shortens the buyer's due diligence and reduces the chances of a re-negotiation late in the process.

3. Marketing and qualifying buyers

  • Broad exposure. MLS® listing through the Toronto Regional Real Estate Board, plus direct outreach to investors, developers, owner-occupiers and other brokers who are actively buying.
  • Confidentiality. Where an operating business or its tenants are involved, financial detail is shared only after the buyer has signed a confidentiality agreement and been qualified.
  • Qualified showings. We screen for real buyers, with financing and a genuine purpose, so your tenants and staff are not disrupted by casual visits.

4. Offers and negotiation

Price is only one term. Compare offers on the deposit, the length and number of conditions, the closing date, any vendor take-back financing, and how likely the buyer is to actually close. A slightly lower price with fewer conditions is often the better deal.

5. Conditions and closing

  1. Conditional period. The buyer's due diligence, financing and lease review normally take two to four weeks, longer for complex properties.
  2. Firm. When conditions are satisfied or waived, the deal is firm and the buyer's deposit is at risk.
  3. Closing. Closing commonly falls 30 to 90 days after acceptance. Your lawyer manages title, adjustments and funds, and how HST applies to the sale.

6. Tax and timing

The tax on a sale, including any capital gain and recapture of depreciation on an income property, can change how much you keep. Talk to your accountant before you list, not after you accept an offer.
